1. Acceptance of Terms
By accessing or using the Arrivalbox website, applications, or services (collectively, the "Service"), you agree to these Terms & Conditions ("Terms"). If you do not agree, do not use the Service.
These Terms apply to all users, including Hosts (sellers) and Guests (buyers). Additional provisions specific to Hosts and Guests are highlighted below.
2. Marketplace Role
Arrivalbox is a marketplace platform that facilitates purchases between Hosts (independent sellers) and Guests. Arrivalbox is not the seller or merchant of record for Host listings, does not manufacture, warehouse, or ship listed goods, and does not take title to goods. Hosts are solely responsible for their listings, fulfillment, quality, legality, taxes, and customer service.
3. Accounts & Eligibility
- Accounts. You must provide accurate information and keep your account secure. You are responsible for activities under your account.
- Eligibility. There is no minimum age requirement; however, the Service is not intended for children. If you are under the age of majority in your jurisdiction, you represent that you have parental/guardian consent to use the Service and to enter into transactions.
- Compliance. You agree to comply with all applicable laws, including local regulations governing goods and services listed by Hosts and purchased by Guests.
4. Fees & Payments
- Platform Fee. Arrivalbox charges Hosts a platform fee of 5% of the order amount, deducted before payout.
- Payment Processing. Payments are processed by third‑party providers (e.g., through Stripe Connect) and subject to their terms. You authorize Arrivalbox and its payment providers to process charges, holds, refunds, and fees as necessary to provide the Service.
- Payout Timing. Host payouts are released after guest check-in, subject to payment provider settlement times, fraud/chargeback holds, and compliance reviews.
- Off‑sets & Holds. You authorize Arrivalbox to withhold, offset, or reverse amounts from payouts for refunds, chargebacks, adjustments, or fees, and to require reserves where appropriate.
5. Additional Terms for Hosts
- Onboarding. Hosts must successfully complete payment onboarding (e.g., Stripe Connect KYC) and maintain accurate banking details.
- Listings. Hosts are solely responsible for the accuracy, legality, and quality of listings and for ensuring goods/services match descriptions.
- Fulfillment. Hosts are solely responsible for procuring and ensuring delivery of the agreed‑upon goods/services to Guests.
- Taxes & Compliance. Hosts are solely responsible for all taxes (e.g., sales/use/VAT), permits, licensing, and regulatory compliance related to their listings and payouts.
- Policies. Hosts may set cancellation and refund policies, provided they comply with law and these Terms. Arrivalbox may override or issue refunds/credits at its discretion in cases such as non‑delivery, fraud, or abuse.
6. Additional Terms for Guests
- Purchases. When you purchase, you buy from a Host, not from Arrivalbox. Review the Host's listing and policies carefully before ordering.
- Charges. You authorize charges for orders, fees, taxes, and any adjustments per the Host's policy and these Terms.
- Check‑In Dependency. Payouts to Hosts generally occur after guest check-in; disputed or fraudulent transactions may delay or prevent payout.
7. Delivery, Cancellations & Refunds
- Delivery. Hosts are responsible for ensuring timely delivery of the agreed‑upon goods/services.
- Cancellations. Cancellation terms are set by the Host; consult the listing or Host policy. Arrivalbox may intervene where required by law or to address fraud, abuse, or safety concerns.
- Refunds. Refunds are primarily managed by Hosts under their policies. Arrivalbox may, in its discretion, issue or require refunds/credits in cases including non‑delivery, misrepresentation, prohibited items, fraud, or chargebacks.
8. Dispute Process (Marketplace)
If the agreed‑upon purchase was not made or delivered, the Guest must contact the Host promptly. If unresolved, the Guest may escalate to Arrivalbox within 24 hours after guest check-in with reasonable documentation (e.g., order number, communications, photos/receipts). Arrivalbox may investigate and decide remedies in its discretion, including refunds or credits, and may offset such amounts from Host payouts.
9. User Content & Licenses
Users retain ownership of content they submit (e.g., listings, photos, messages). You grant Arrivalbox a nonexclusive, worldwide, royalty‑free license to host, store, reproduce, display, and distribute your content solely to operate, provide, and promote the Service. You represent and warrant you have all rights necessary for the content you submit.
10. Acceptable Use
- No illegal, infringing, deceptive, or harmful activities.
- No attempts to bypass security, scrape, or abuse platform resources.
- No harassment, hate, or violations of others' rights.
- Comply with all applicable laws and these Terms.
11. Prohibited Items
Listings must not include illegal items, weapons, drugs. Hosts must also comply with all local restrictions and platform policies.
12. Alcohol Policy
Hosts may list alcohol only where lawful; Guests must provide valid government ID upon delivery or pickup; Hosts are responsible for verifying age and compliance with local laws.
13. Intellectual Property
The Service, including all software, logos, and content provided by Arrivalbox, is owned by or licensed to Arrivalbox and protected by law. These Terms do not grant you any rights to use Arrivalbox trademarks or branding except as expressly permitted.
14. Privacy
Your use of the Service is also governed by our Privacy Policy. By using the Service, you consent to our collection and use of information as described there.
15. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, ARRIVALBOX DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON‑INFRINGEMENT. ARRIVALBOX DOES NOT CONTROL OR GUARANTEE HOST LISTINGS, QUALITY, LEGALITY, AVAILABILITY, OR TIMELY DELIVERY.
16. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ARRIVALBOX AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. TO THE EXTENT LIABILITY CANNOT BE EXCLUDED, THE TOTAL AGGREGATE LIABILITY OF ARRIVALBOX FOR ANY CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO ARRIVALBOX (EXCLUDING AMOUNTS PAID TO HOSTS) IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) USD $100.
17. Indemnification
You agree to defend, indemnify, and hold harmless Arrivalbox from and against any claims, losses, liabilities, damages, costs, and expenses (including reasonable attorneys' fees) arising from or related to (a) your use of the Service; (b) your listings, content, goods/services, or interactions; (c) your violation of law or these Terms; or (d) any dispute between you and another user.
18. Suspension & Termination
We may suspend or terminate access to the Service (including removing listings or holding payouts) if we believe you have violated these Terms, engaged in fraud or illegal conduct, or risk harm to users or the platform. You may stop using the Service at any time. Sections that by their nature should survive termination will survive.
19. Governing Law & Venue
These Terms are governed by the laws of New York, USA, without regard to conflict‑of‑laws rules. You agree to the exclusive jurisdiction and venue of the state and federal courts located in New York, New York for any dispute arising out of or relating to these Terms or the Service.
20. Changes to Terms
We may update these Terms from time to time. The Effective Date will be updated when changes are posted. Material changes will be communicated through the Service or by email where appropriate. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
